Job brief

We are looking for a highly qualified Legal Counsel to oversee the legal aspects of our client’s business. You will safeguard the reputation of the business by guaranteeing that the company strictly follows law guidelines and give legal advice to the BoD about all relevant issues.

The successful candidate will effectively ensure legal conformity and minimize probability of exposure.

Responsibilities

Give accurate and timely counsel to executives in a variety of legal topics (labor law, partnerships, international ventures, corporate finance etc.)

Ensure that the organization carries out its statutory obligations and to protect its interests

Collaborate with management to devise efficient defense strategies

Specify internal governance policies and regularly monitor compliance

Research and evaluate different risk factors regarding business decisions and operations

Provide efficient legal services with respect to new projects and joint ventures and related sales, purchase, project finance, corporate finance, and EPC contracts.

Negotiate and Represent Company with Third Parties on specific topics to ensure that the legal aspects of any decisions are fully considered

Negotiating and drafting all forms of commercial contracts, various commercial agreement/transactions and reviewing all contracts/legal documents generated or received by the group companies ensuring that these are legally sound and / or to ensure that the organizations interests are safeguarded

Minimize Risk Exposure and Ensuring Compliance with Government Regulations

Dispute Resolution and Risk Management

Communicate and negotiate with external parties (regulators, external counsel, public authority etc.), creating relations of trust

Draft and solidify agreements, contracts and other legal documents to ensure the company’s full legal rights

Deal with complex matters with multiple stakeholders and forces

Provide clarification on legal language or specifications to everyone in the organization

Maintain current knowledge of alterations in legislation

Requirements

Proven experience as a Legal Counsel with family owned businesses

Excellent knowledge and understanding of corporate law and procedures, specifically of the GCC

Full comprehension of the influences of the external environment of a corporation

Demonstrated ability to create legal defensive or proactive strategies

High degree of professional ethics and integrity

Sound judgement and ability to analyze situations and information

Outstanding communication skills ;fluency in English and Arabic

BSc degree in Law or J.D. degree

Preferably Master’s in Law or similar disciplines
